These terms of use ("Terms") govern your access to and use of tekanaidsolutions.com (the "Site") and the services TeKanAid Solutions Inc. ("TeKanAid Solutions", "we", "our", "us") makes available directly through it. TeKanAid Solutions Inc. is a Canadian company.
This is a working baseline document. We are publishing it in good faith while we finalize a full review with our legal counsel. For any engagement that involves money changing hands, the controlling document is the written contract or statement of work signed by both parties, not these Terms.
1. Acceptance
By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site. If you are using the Site on behalf of a company, you represent that you have authority to bind that company to these Terms.
2. Scope
These Terms apply only to tekanaidsolutions.com and the services we sell directly from it, including AI infrastructure consulting and audience sponsorships. Other properties in the TeKanAid Solutions portfolio, including tekanaid.com, academy.tekanaid.com, povdemo.com, and nextemr.com, have their own terms of use and end-user agreements. If you are using any of those services, the terms posted on that site control your relationship with us for that service.
3. Use of the Site
The Site is an informational marketing site. The content is published for general information about TeKanAid Solutions and the services we offer. It is not a binding offer, a quote, or professional advice for any particular situation. You should not rely on the Site as a substitute for advice from a qualified professional.
You agree not to:
- use the Site in a way that violates any applicable law or regulation;
- attempt to interfere with the Site, our infrastructure, or the systems of our vendors;
- scrape or copy substantial portions of the Site for commercial purposes without written permission;
- impersonate another person or misrepresent your affiliation with any organization in any form you submit.
We may suspend or restrict access to the Site at any time, for any reason, without notice.
4. Consulting and sponsorship engagements
If you engage us for AI infrastructure consulting or for an audience sponsorship, the deliverables, fees, timelines, and other commitments are set out in a separate written contract or statement of work signed by both parties. The Site describes our services at a general level only. Nothing on the Site, including pricing examples or service descriptions, constitutes a binding offer or a fixed-price quote.
In the event of any conflict between the Site content and a signed contract or statement of work, the signed document controls.
5. Intellectual property
All content on the Site, including text, graphics, logos, images, and the underlying code, is owned by TeKanAid Solutions Inc. or our licensors and is protected by copyright, trademark, and other applicable laws. The names "TeKanAid", "TeKanAid Solutions", "TeKanAid Academy", "Povdemo", and "NextEMR", together with associated logos, are trademarks of TeKanAid Solutions Inc. or its affiliates.
You may view and download Site content for personal, non-commercial reference. You may not reproduce, redistribute, or create derivative works from Site content without our prior written permission, except as expressly permitted by applicable law.
6. Third-party links
The Site links to external sites we do not control, including the sites of our portfolio companies and our vendors. We are not responsible for the content, privacy practices, or terms of those external sites.
7. No warranty
The Site and its content are provided "as is" and "as available". To the maximum extent permitted by law, TeKanAid Solutions disclaims all warranties, whether express, implied, statutory, or otherwise, including any warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. We do not warrant that the Site will be free of errors, viruses, or interruptions.
8. Limitation of liability
To the maximum extent permitted by law, TeKanAid Solutions Inc., its directors, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site, even if we have been advised of the possibility of such damages. Our total aggregate liability arising out of or related to your use of the Site is limited to one hundred Canadian dollars (CAD 100).
This limitation does not apply to liability that cannot be excluded under applicable law.
9. Indemnity
You agree to indemnify and hold harmless TeKanAid Solutions Inc. and its directors, officers, employees, and contractors from any claims, losses, or expenses, including reasonable legal fees, arising out of your breach of these Terms or your misuse of the Site.
10. Governing law and jurisdiction
These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable in Ontario, without regard to conflict of laws principles. The courts located in Ontario have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Site, and you consent to that jurisdiction.
11. Changes to these Terms
We may update these Terms from time to time. The "last updated" date at the top of the page reflects the most recent change. Material changes will be announced on the Site. Your continued use of the Site after a change is published constitutes acceptance of the updated Terms.
